Overview of the Role
The Legal Counsel will be part of a wider team of lawyers based in the US, London and Frankfurt and will be responsible for providing legal advice to the Asia Pacific real estate business and on occasion to colleagues based in Europe. Focus will be on overseeing investment activity, including fund transactions, and managing legal risk on a consolidated basis for the business. In addition, to provide general corporate advisory legal advice to the APAC.
Key responsibilities will include:
- Assist with acquisitions, divestitures, mergers and related integration processes on behalf of the funds managed by the business and work with external counsel accordingly;
- In coordination with internal real estate fund counsel, assist the business with new real estate fund and investment structures in various jurisdictions and work in conjunction with the other internal teams as appropriate;
- Appoint, manage and collaborate with external panel law firms and specialist local law firms;
- Completion of contract negotiations with coordination of the entire investment process in cooperation with the local asset manager, finance and treasury team.
- Analysis of the ideal investment route from direct and indirect property investments for the entire real estate fund spectrum managed by Nuveen Real Estate Global.
- Attend and participate in the weekly Investment Meeting and update the legal team as appropriate;
- Draft/review and negotiate contracts relating to the fund entities’ activities, including asset management agreements, distribution agreements, side letters, joint venture agreements, investment management related services and supplier agreements;
- Develop and implement together with the wider legal team, policies, guidelines and precedents for transactions and general business operations and implement/instruct external counsel accordingly;
- Draft legal guidance notes on legal issues relevant to the business;
- Present to business stakeholders, including senior management and the Investment Committee, identified key risks, mitigants and transactional structure generally; and
- Collaborate with the wider global legal and transactional teams, on a regular basis to share ideas, knowledge and best practice, including to develop or implement new initiatives.
Technical Skills & Qualifications Required
- A qualified solicitor with experience gained in house in financial services or a similar regulated business or with an internationally recognised legal firm
- Demonstrated experience in real estate law, including experience in due diligence, leasing and developments
- Experienced in fund transactional law including complex real estate funds and joint venture structures (on and off shore) and associated agreements
- Management of fund transactions and managing external counsel
- Cross border experience, and language skills are an asset

- Comfortable operating in/with a multi-location and multi-national extended team

Options for rolling over a TIAA Traditional Annuity account
I worked for a Massachusetts-based university for a brief period of time in 2003-2004. The university’s retirement contributions were put into a TIAA CREF account and invested in TIAA’s Traditional Annuity. It’s a small amount of money (now about $14,500) relative to my whole portfolio, but it annoys me that it’s in an annuity account, and that it’s with TIAA when the rest of my investments are elsewhere.
