The Team

The Netflix Corporate Legal team serves as the nucleus for the entire legal organization, focusing on collaboration across global teams and partnering with all aspects of the business. The team manages complex arrangements with external stakeholders and oversees areas such as corporate governance & compliance, M&A, corporate structuring, deal strategy, third party financing, litigation, employment, real estate and legal operations.

The Opportunity:

The successful candidate will work as part of the company’s M&A and corporate structuring legal team, a subgroup of the corporate legal team, headquartered in Los Angeles with an enterprise wide remit. This team focuses on all things corporate related to intellectual property across Netflix, including corporate structuring, M&A, third party finance agreements, security interests/encumbrances for content matters, and unique corporate strategy transactions.

The successful candidate will partner closely with (i) our global content teams (both business and legal) to provide guidance with respect to corporate legal matters on bespoke and complex content deals and address third party finance matters including negotiating and drafting agreements with financiers and lenders, (ii) the corporate development team on M&A deal execution as well as integration efforts and (iii) the global tax team in connection with corporate structure matters across the business; and (iv) the broader corporate legal team across all areas as needed. They should be extremely comfortable working with various cross-functional stakeholders, learning quickly and efficiently with curiosity and making thoughtful decisions that have both legal and business impacts. Most importantly, the successful candidate is not just a lawyer, but a business partner, helping to guide decisions with deep knowledge and expertise across the broader business.

Requirements:

The successful candidate will have 8+ years of experience across a combination of M&A, corporate, and intellectual property related deals (e.g. content, technology), including direct experience drafting distribution agreements, intercompany agreements, licensing agreements, chain of title, guarantees, negative pick-ups, domestic and foreign tax incentives overall deals, co-production arrangements and structuring, negotiating and drafting credit and security agreements (and all related documents). The successful candidate will also have experience with M&A due diligence and deal processes (public company deals a plus), drafting of purchase agreements (and other deal structures) and related transaction documents and integration. There is an in office expectation of 3 days a week on Tuesday through Thursday (at a minimum).

A combination of law firm and in-house experience is preferred.

The successful candidate will also possess the following:

  • Clear and concise communication skills and excellent interpersonal skills.

  • Strong analytical capabilities and judgment, even when the rules are unclear and the issues are of first impression.

  • Ability to distill important points and frame and present issues succinctly.

  • Ability to work proactively, independently and reliably under tight timeframes in a fast-paced environment.

  • Ability to pivot quickly and fluidly, think practically and be solution-oriented.

  • Curiosity and willingness to tackle matters outside their area of expertise.

  • Ability to work effectively and collaborate cross-functionally with people having diverse viewpoints and interests.

J.D. and membership in good standing in at least one U.S. state bar is required.

Generally, our compensation structure consists solely of an annual salary; we do not have bonuses. You choose each year how much of your compensation you want in salary versus stock options. To determine your personal top of market compensation, we rely on market indicators and consider your specific job family, background, skills, and experience to determine your compensation in the market range. The range for this role is $420,000.00 - $690,000.00.
