Overview

Microsoft’s Corporate, External and Legal Affairs (CELA) organization is seeking an experienced attorney to join the Marketing CELA team as a Principal Corporate Counsel supporting AI Business Solutions (ABS) and Security Marketing. This role serves as a strategic legal advisor to senior marketing and business planning leaders, providing guidance on high-impact business initiatives and monetization strategies across Microsoft’s AI and Security portfolio. More specifically, this role maps to to the Microsoft business planning leaders who develop business models, pricing, licensing, packaging, and go-to-market strategy for these product lines, and are responsible for the company's commercial licensing programs.

You will partner closely with business planning, marketing, and product stakeholders to support global campaigns, monetization strategies, pricing, and other marketing initiatives, ensuring compliance with applicable laws and Microsoft policies while enabling innovation and growth.

In this role, you will work at the intersection of emerging technology and business strategy – navigating complex, high-visibility issues and delivering scalable legal solutions in a fast-paced and ambiguous environment.

Responsibilities

  • Serve as the primary legal advisor to ABS and Security business planning teams on business models, pricing, go-to-market, and monetization initiatives.
  • Provide strategic counsel to senior business stakeholders on legal and regulatory risks related to pricing, bundling, discounting, and broader campaign execution.
  • Lead legal support for high-impact global marketing campaigns and product launches across AI and Security portfolios.
  • Develop scalable legal frameworks, playbooks, and self-service tools to enable efficient, risk-based decision-making.
  • Own and drive resolution of complex, high-risk and ambiguous legal matters, balancing compliance with business objectives and innovation.
  • Partner with cross-functional legal teams (e.g., competition, privacy, policy, and product counsel) on multi-disciplinary issues impacting marketing communications and commercial strategy.
  • Anticipate and translate evolving regulations and laws, including but not limited to competition and privacy laws, into actionable guidance for marketing teams worldwide.
  • Support regulatory inquiries, industry challenges, and disputes related to advertising and marketing practices.
  • Drive operational excellence through improvements to intake, triage, automation, and reduction of outside counsel spend.
  • Mentor and guide attorneys and legal professionals, contributing to team capability and consistency.

Qualifications Required Qualifications (RQs)

  • Juris Doctor Degree or international equivalent degree AND 4+ years experience as a practicing attorney
  • OR equivalent experience.
  • Active license to practice law in a jurisdiction and capable of meeting admission requirements in relevant jurisdiction.

Preferred Qualifications (PQs)

4+ years of experience working in the following areas:

  • competition law, marketing compliance, and/or commercial strategy.
  • In-house legal experience, including providing direct legal advice to senior business leaders.
  • Advising senior business leaders on high-risk, high-impact initiatives, including pricing, discounting, and go-to-market strategy.
  • Advertising claims substantiation, endorsements, disclosures, and global marketing regulations.
  • Technology, digital marketing, or AI-driven environments.

#CELA

Legal Counsel IC4 - The typical base pay range for this role across the U.S. is USD $132,200 - $232,800 per year. There is a different range applicable to specific work locations, within the San Francisco Bay area and New York City metropolitan area, and the base pay range for this role in those locations is USD $165,800 - $248,600 per year.
