Position Overview
Reports to: Head of Legal Business and Regional General Counsel EMEA, Robotics Division
Job Profile Summary
Provides strategic legal counsel and upholds the highest standards of integrity within ABB, ensuring compliance with applicable laws, regulations, and ethical standards. Effectively manages legal risks and fosters a culture of integrity across the organization.
Roles & Responsibilities
Core Responsibilities
- Provides end-to-end legal services to one or more departments or operating units
- Provides L&I related advice to ABB management and acts as an advisor to the business stakeholders
- Reviews and negotiates contract, drafts commercial agreements and other contractual terms in collaboration with relevant business stakeholders and L&I team members, and oversees contract management
- Monitors legal affairs, including but not limited to litigations and activity reports and occupies a seat at the table on local strategic business matters
- Ensures good corporate governance (including structuring, drafting, and negotiation) in their area of accountability within the country, with respect to Mergers & Acquisitions (M&A) / divestiture transactions
- Counsels the management on their plans or decisions that are legally risky or on the business impact of the changes/amendments in law from time to time
- Responsible for handling major legal tasks involving problems of recognized complexity and ambiguity in facts, using their legal judgment and experience, and independent reasoning
- Accountable for local country fiduciary duties, if applicable
- Supports anticipating future business and legal opportunities and challenges and develop appropriate strategies to address them
- Identifies risks, external threats, and opportunities to the company, proactively and proposes appropriate strategies

- Manages and monitors the implementation and execution of the code of conduct across the organization and collaborates with the integrity & regulatory affairs team on integrity policies & processes, as necessary
- Ensures all staff (under scope) understand ABB's core values and group safety and integrity standards and act accordingly
- Implements and ensures compliance with the ABB code of conduct, global and local standards, tools, policies, and processes in their assigned area
- Ensures adherence to all internal and statutory regulations and policies pertaining to the teams in scope
- Ensures integrity and compliance with ABB values and ethics in all activities across all teams in scope
Collaboration / Leadership
- Establishes and maintains relationship with the key stakeholders of the respective/assigned unit and takes accountability for all legal matters in the unit
- Promotes and enables collaboration across divisions, business areas, and teams to maximize results for ABB
- Manages relationships with stakeholders in their own area of responsibility and ensures alignment
- Strong capabilities in understanding business and products and learning new legal topics
Qualifications
Required
- Bachelor of Law from a reputable law school in China
Preferred
- LLM or JD from the US or other countries
- Bar admission in China, or in the US or another major jurisdiction, and dual admissions
- Minimum 6 years post qualification experience practicing corporate law, foreign investment law, and/or M&A either as an associate at a reputable law firm or in a major multi-national corporations
- Experience in cyber security and data privacy, anti-trust and merger control filing, tax and treasury, and other in-house related experience
