About the Role
Institutional Securities Documentation is a global team consisting of approximately 160 people based in several locations (including New York, London, Hong Kong, Budapest, Mumbai, Singapore and Tokyo).
The current opening is for a professional within the Tokyo based team supporting the Fixed Income Division (FID) at Morgan Stanley, with responsibility for drafting and negotiation of documentation required for clients trading fixed income products with Morgan Stanley in the Japan region.
Job Responsibilities
-
Prepare and negotiate agreements/documents with institutional clients mainly based in Japan.
-
The type of agreement/documents are mainly;
-
ISDA documents (ISDA Master Agreements and any related credit support documents (including VM and IM CSAs, custodian arrangement agreements related to IM, counterparty guarantees etc)
-
financing transaction documentation (such as GMSLA, GMRA and Japanese stock lending, JSDA repo/gensaki agreements etc)
-
clearing agreements for OTC and listed derivatives
-
other trading documentation including Clear Derivatives Execution Agreement, Electronic Transactions Agreement and any ancillary documentation
-
remediation of aforesaid agreements in order to comply with regulatory requirements
-
Review and analyze legal documentation to determine capacity and authority to enter into transactions related to the aforesaid agreements/documents.

Develop and maintain client relationship by liaising with other infrastructure groups of the firm (eg, Legal, Compliance Risk Management, Credit, Operations, Tax etc) throughout the negotiation process, including analyzing and presenting negotiation issues to relevant stakeholders.

Actively participate in industry working group calls.

Actively participate in global team projects on initiatives such as IT, risk management, system development and regulatory-driven projects.

Assist in the development of policies, procedures and systems.
Qualifications, Skills, and Requirements
-
Full professional fluency in Japanese and business level English (both oral and written).
-
Excellent oral and written communication skills to work with local / global / internal / external parties.
-
Excellent PC skills including but not limited to Microsoft Outlook, Word, Excel etc.
(NB – usage of MS specific systems is expected) -
Ability to work in a team as a good team player.
-
8 years’ experience with negotiating derivatives documentation, and/or other relevant contracts in corporate law firm or financial institution.

Solid quantitative skills and strong interest in business, economics and law.

Potential to collaborate effectively with Japan FID Sales and broader teams across Asia to facilitate smooth client negotiations and onboarding in a timely and efficient manner.

Willingness and ability to provide quality service to the Firm's clients and to promote and enhance the Morgan Stanley franchise.

Willingness to work in dynamic trading floor environment and the ability to excel under pressure.

Willingness to take on new challenges and work towards moving target.
