The Senior Counsel position will be an integral part of the Corporate Legal team and will work and advise on a wide variety of transactions, primarily focusing on Paramount Skydance studios film acquisitions and co-financings, new media opportunities, and bankruptcy-related matters.
The ideal candidate will have experience with the business, legal and financial aspects of the motion picture business and will have a mix of law firm and in-house experience. This position will report to Paramount Skydance Vice President, Corporate Legal and will be based in Los Angeles.
Responsibilities to include:

Draft and negotiate film acquisition, co-financing and/or distribution agreements with other studios, financiers, streamers and business partners.

Work closely with senior management, strategic planning/business development, business affairs, motion picture legal, finance and other teams on a wide range of projects and deals.

Advise on a broad range of business and legal affairs matters.

Oversight of bankruptcy-related issues.

Manage outside legal advisors on transactional and bankruptcy matters.

Provide support for mergers and acquisitions, including due diligence review, review of merger, stock sale and asset purchase agreements or joint venture agreements (including governance) that involve the Paramount Skydance studios business.
Basic qualifications:
-
5+ years of relevant experience, preferably at both a major law firm and/or in the entertainment industry.

Admitted to the California Bar or able to qualify as Registered In-House Counsel.

Exceptional negotiating, drafting, transaction structuring and analytical skills.

Excellent interpersonal, communication and client relations skills.
Desired qualifications:

Self-starter who can manage and successfully complete deals, in some cases with minimal supervision.

Must be able to craft innovative, business-oriented solutions and assist in executing them.

Willingness to tackle matters of first impression and outside of areas of expertise.

Ability to work collaboratively (including across various departments), think practically, and use sound judgment.

Ability to distill complex issues and provide succinct, practical advice.

Excellent interpersonal and communication skills.

Ability to work independently and reliably under tight timeframes in a fast-paced environment.

Familiarity with bankruptcy law.

Familiarity with including financial statements/models and film accounting.

ADDITIONAL INFORMATION:
Hiring Salary Range: $170,000.00 - 195,000.00.
The hiring salary range for this position applies to New York City, California, Colorado, Washington state, and most other geographies. Starting pay for the successful applicant depends on a variety of job-related factors, including but not limited to geographic location, market demands, experience, training, and education. The benefits available for this position include medical, dental, vision, 401(k) plan, life insurance coverage, disability benefits, tuition assistance program and PTO or, if applicable, as otherwise dictated by the appropriate Collective Bargaining Agreement.
