NVIDIA seeks a Senior Corporate Counsel, M&A, to join the Company's Legal Department supporting NVIDIA’s mergers, acquisitions and strategic transaction activities. The successful candidate will have extensive experience assisting with M&A transactions, as well as strong experience dealing with regulatory issues (antitrust, foreign direct investment, etc.). This role also requires experience working with senior management and ability to work well with and relate to company personnel at all levels!
What you’ll be doing:

Evaluate, structure, negotiate, draft and provide advice on mergers and acquisitions and strategic transactions.

Review and draft NDAs, deal structures, term sheets, LOIs, due diligence, and other legal documents
-
Partner to lead cross-functional teams to complete transactions
-
Assist in legal due diligence across cross-functional legal areas such as corporate, commercial, IP, export control by using internal legal specialists
-
Assist in negotiations and drafting of commercial and collaboration agreements in connection with strategic transactions and partnerships
-
Participate in the development of strategies to enhance the deal process and execution
What we need to see:
-
Current member in good standing of the California State Bar
-
Law degree from top law school with excellent academic credentials
-
8 overall years of law firm and/or in-house experience. Mix of law firm and in-house experience a plus
-
Significant experience running complex and strategic M&A and other strategic transactions
-
Practical and academic knowledge of mergers, acquisitions, and related strategic deals; proactive approach to recognizing needs, anticipating issues, and solving problems
-
Experience working with senior management and ability to work well with and relate to company personnel at all levels.

Excellent legal and business judgment and attention to detail
-
Ability to think creatively, function independently and work proactively in a fast-paced environment

Your base salary will be determined based on your location, experience, and the pay of employees in similar positions. The base salary range is 232,000 USD - 368,000 USD.
You will also be eligible for equity and benefits.
