As General Counsel, Corporate Governance and Securities, here at Honeywell, you will provide strategic legal advice and guidance across a diverse range of critical legal matters. Your role will include ensuring compliance with securities and corporate governance laws, developing and implementing best practices and risk mitigation strategies and providing support for critical business initiatives at the corporate level.
You will report directly to our Deputy General Counsel for Corporate Transactions, Securities & Governance. You will work out of our Charlotte, North Carolina, location on an on-site work schedule.
YOU MUST HAVE
- Juris Doctor (JD) from an accredited law school and active membership in a state bar.
- At least 6 years’ experience at an internationally-recognized law firm providing legal counsel for corporate governance and securities matters.
- Strong communication and interpersonal skills.
- Ability to work effectively in a fast-paced and dynamic environment.

THE BUSINESS UNIT
The Corporate Strategic Business Group (CORP SBG) at Honeywell is a division focused on corporate-level functions and initiatives that support the overall operations and strategy of the company. It is responsible for overseeing areas such as finance, legal, human resources, communications, and corporate governance, working closely with other business units and SBGs to ensure alignment and coordination across the organization. The CORP SBG plays a crucial role in the overall strategic direction and management of Honeywell's corporate functions and operations, supporting the company's business objectives.
KEY RESPONSIBILITIES
- Direct and provide legal advice related to SEC reports, registration statements and related correspondence.
- Ensure compliance with stock exchange requirements and insider trading laws and policies.
- Oversee corporate governance matters, including legal compliance, preparation of the annual proxy statement and implementation of governance best practices.
- Ensure legal compliance for matters relating to investor relations and shareholder engagement, including associated public disclosure.
- Oversee legal support for corporate bond issuances, credit facilities, equity issuances, share repurchases and other treasury activity.
- Manage a team of paralegals and mentor junior attorneys.
