The Lead Counsel is a senior level position responsible for accomplishing results through directing day-to-day legal activities as part of Citi’s Markets Commodities Legal Team (“Commodities Legal Team”), a part of the Citi Markets Legal Function. The overall objective of this role is to provide legal support, advice, and guidance to Citi’s Markets Global Commodities (“Commodities”) business and key internal stakeholders, in partnership with Legal colleagues globally. on the legal and regulatory risks associated with the full spectrum of commodities trading activity, including financial derivatives products, physical commodity financing, and trading activities across all traded commodities.

This role requires a pragmatic, proactive attorney with thorough understanding of the Commodities business, combined with a solid conceptual / practical grounding in the laws and regulations for the geographies in which we operate.  Provides input into strategic decisions, exercising sound legal judgement to develop proactive, risk-appropriate, and commercially practical business-oriented solutions.

Responsibilities:

  • Provide commercial legal support in connection with Citigroup's Commodities business in North America, including financial and physical energy (including crude and refined products, natural gas, natural gas liquids, and power), metals, and agricultural products.

  • Advise on financial hedging, security structures as well as commodity monetization structures.

  • Negotiate and draft structured financial documentation, master (including the ISDA, NAESB, EEI and LEAP), and bespoke commodity agreements.

  • Provide legal counsel to the Commodities business, participating in strategic initiatives, providing subject matter expertise and interpretations of relevant laws, rules, regulations, and industry practices, and advising business management on legal matters impacting the business.

  • Partner with business/functional line management in recommending, developing and executing business initiatives within permissible statutory and regulatory frameworks.

  • Collaborate across internal lines of business, control/support functions and/or external counsel to achieve coordinated and efficient outcomes on matters of common interest; coordinate closely with the Commodities Legal Team on a regional and global basis.

  • Participates in Commodities business planning and development initiatives; contributes to business objectives by providing thought leadership using knowledge of industry, laws, and regulations

  • Proactively identify, evaluate, and contribute to the appropriate management of legal, regulatory, and reputational risk by collaborating with Independent Compliance Risk Management & Risk, following relevant legal developments, and participating in internal projects, escalating as appropriate.

  • Manage day-to-day legal activities as a subject matter expert in the commodities area of responsibility and provide advisory services to business partners.

  • Monitor management of complex legal issues and transactions, escalating when necessary.

  • Appropriately assess risk when business decisions are made, demonstrating particular consideration for the firm's reputation and safeguarding Citigroup, its clients and assets, by driving compliance with applicable laws, rules and regulations, adhering to Policy, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues with transparency, as well as effectively supervise the activity of others and create accountability with those who fail to maintain these standards.

Qualifications:

  • 5 – 7 years of relevant legal experience, including commodity industry and/or commodity-focused derivatives industry experience.

  • Knowledge of trading documentation, regulations and practices while staying abreast of regulatory and legal environment, internal policies and industry trends that impact the business.

  • Experience with complex deals, demonstrated ability to analyze issues and develop legal solutions.

  • Effective communication and negotiation skills and ability to build and maintain trusted relationships.

  • Excellent interpersonal, organizational and relationship management skills.

  • Proven ability to apply sound judgement while managing assignments in a demanding, fast-paced environment.

  • Bar license in good standing to practice law.

  • Juris Doctorate or equivalent law degree
