This position plays a crucial role in providing legal guidance and operational support for the regional Wealth Capital Markets Business. The Wealth Capital Markets Business covers a broad range of investment products including cash securities trading; OTC derivatives; fixed income securities and structured products, across all major asset classes.
You will provide essential legal support and contribute to the legal team for the Wealth Business (which includes the Private Bank and International Personal Bank). You will contribute to transactional and regulatory matters relating to structured products offering a unique opportunity to work on matters across diverse jurisdictions.
This role requires a proactive, pragmatic and detail-oriented legal professional with a solid understanding of the business and applicable laws and regulations. You will contribute significantly to legal problem-solving and the development of risk-appropriate and commercially practical business-oriented solutions, working collaboratively with senior counsels. The Counsel II is an intermediate level position responsible for providing legal guidance and thought leadership to the business. The overall objective of this role is to provide legal support, advice, and guidance to the business.
Responsibilities:

Provide legal support to the Wealth Capital Markets Business in Singapore and Hong Kong, with a particular focus on structured notes and OTC derivatives documentation from a transactional and regulatory perspective

Review offering documents for structured notes and assisting in preparing tailored investment proposals based on the review

Advise the business on ISDA master agreement and its related documentation and processes, close-out netting and collateral enforceability opinions and other related workstreams

Assist with queries related to the execution of documents and registration of charges in various jurisdictions

Review and draft templates and bespoke agreements, including of master distribution agreements, accession agreements

Support internal projects for process enhancement.

Respond to other queries and matters from the Capital Markets Business Execution and Documentation/Operations teams.

Participate in strategic initiatives, providing interpretations of relevant laws, rules, regulations, and industry practices, and assisting business management on legal matters impacting the business, while advising on legal matters impacting the business.

Collaborate with internal stakeholders and with external advisers to support the interpretation and implementation of new regulation and revisions to existing regulations.

Contribute to the objective evaluation of business proposals by applying institutional knowledge and risk appetite against industry standards, widely accepted business practices, laws, rules, and regulatory guidelines, escalating as appropriate. This includes analyzing documentation.

Collaborate across internal lines of business and control/support functions and/or external counsel to achieve coordinated and efficient outcomes on matters of common interest; coordinate closely with the Legal team on a regional and global basis.

Participate in Wealth Capital Markets development initiatives, such as new product proposals.

Proactively identify, evaluate and support the appropriate management of legal, regulatory, and reputational risk by collaborating with various stakeholders including ICRM & Risk, following relevant legal developments, participating in internal projects, and escalating as appropriate.

Manage day-to-day legal activities as an emerging subject matter expert in structured products.

Appropriately assess risk when business decisions are made, demonstrating particular consideration for the firm’s reputation and safeguarding Citigroup, its clients and assets, by driving compliance with applicable laws, rules and regulations, adhering to Policy, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues with transparency, as well as effectively supervise the activity of others and create accountability with those who fail to maintain these standards.

Qualifications:

Must have Juris Doctorate or equivalent law degree from a recognized institution

At least 3 to 4 years of relevant industry experience, preferably in financial services

Banking or financial industry experience, including laws related to banking regulations

Knowledge of international laws, regulations and practices while staying abreast of regulatory and legal environment, internal policies and industry trends that impact the business

Experience with complex deals, demonstrated ability to analyze issues and develop legal solutions
-
Effective communication and negotiation skills and ability to build and maintain trusted relationships

Excellent interpersonal, organizational and relationship management skills

Proven ability to apply sound judgement while managing assignments in a demanding, fast-paced environment

Bar license in good standing to practice law
