We’re seeking a future team member for the role of Independent Non-Executive Director to join the BNY Investments team. This role is located in Luxembourg and is estimated to be 20 days commitment per annum.

In this role, you’ll make an impact in the following ways: 

  • Provide independent oversight and challenge on Board decisions, ensuring alignment with investor interests and risk appetite.
  • Monitor governance, risk management, compliance, and internal controls through MI, audits, and reporting.
  • Contribute industry expertise to anticipate regulatory, market, and operational developments.
  • Participate actively in Board and Committee meetings, ensuring accountability and effective escalation.
  • Oversee performance of management and key delegates (portfolio management, valuation, distribution, outsourcing).
  • Safeguard independence by managing conflicts of interest and maintaining arm’s-length relationships.
  • Promote strong culture and conduct standards, emphasizing integrity and transparency.
  • Support Board effectiveness through thorough preparation, review of materials, and constructive challenge.
  • Stay current on regulatory changes and industry trends; commit to ongoing CPD and training.
  • Attend quarterly Board meetings in Luxembourg and ad-hoc sessions as required.

To be successful in this role, we’re seeking the following: 

  • Senior-level experience in the investment funds industry, with deep knowledge of UCITS/AIF regulation.
  • Expertise in fund management companies, cross-border distribution, and/or product structuring.
  • Strong understanding of risk management frameworks and regulatory compliance.
  • Independent, strategic thinker with sound judgment and commitment to investor interests.
  • Excellent leadership, communication, and ability to challenge constructively at Board level.
