Black Rock’s Legal and Compliance team works with business teams to develop investment management products and business solutions that comply with the numerous legal and regulatory requirements to which Black Rock is subject and to deploy capital managed on behalf of clients. Legal and Compliance is responsible for, among other things, overseeing regulatory matters; coordinating litigation and legal proceedings; negotiating and structuring contracts and other complex transactions; providing ongoing legal advice across investment platforms regarding new and existing products, strategies and investments; establishing legal and compliance policies and procedures that meet applicable regulatory requirements and testing the operative effectiveness of those policies and procedures and conducting training.

L&C Private Equity/M&A/Capital Markets Transactions Group Attorney

We are searching for an experienced private equity/M&A/capital markets transactional lawyer who will handle a wide range of private equity, growth equity, venture capital and other similar transactions across North America. The successful candidate will be a motivated transactions lawyer and will have detailed legal knowledge of M&A, JVs, private equity investments, co-investments, PE secondaries, preferred stock, and corporate finance and be able to translate this knowledge into actionable advice and into the management of effective legal processes. Whilst working as part of the Black Rock legal department, the successful candidate will partner with portfolio managers, tax, operations, product lawyers, compliance team and external lawyers and will be responsible for advising on as well as negotiating complex legal transactions in connection with investments made on behalf of Black Rock clients and funds.

Primary Responsibilities

  • Assist in the management and negotiations of private equity investments, joint ventures, co-investments, secondaries, private placements, PIPE, SPAC, venture and growth equity investments and similar transactions on behalf of Black Rock funds and accounts under management.
  • Act as lead transaction counsel on deals, manage transaction execution, review and negotiate full range of deal documentation.
  • Manage external deal counsel, in conjunction with the investment team, and work closely with portfolio managers, colleagues in legal and compliance departments, tax, ops teams during execution of the transaction;
  • Provide advice and support to internal stakeholders to develop, establish and improve internal processes relating to investments.
  • Coordinate with compliance teams with respect to information barriers, restricted list reviews, inside information, thresholds and other regulatory coverage areas.
  • Analyze and manage a variety of regulatory issues affecting the Black Rock investment platform, including conflicts of all types as well as the Investment Advisers Act of 1940, Investment Company Act of 1940, Securities Act of 1933, Securities and Exchange Act of 1934, etc.
  • Take initiative to identify and analyze problems, generate alternative solutions and make decisions with little direction/supervision.
  • Organize training sessions for the business and keep abreast of key market terms and conditions.
  • Adhere to investment process and operational standards.

Requirements

  • A J.D. with superior academic credentials from a nationally-recognized law school and four to eight years of experience as a lawyer in a major law firm or the legal department of an asset manager, investment bank or other leading organization.
  • Significant experience in M&A and private equity, as well as co-investment, secondaries, growth equity and capital markets transactions.
  • Strong technical legal and commercial skills.
  • Experience advising fund managers and non-bank institutions as lenders or investors is a plus.
  • Ability to oversee and effectively manage outside counsel and internal stakeholders.
  • Strong organizational skills and ability to work with others and manage multiple time sensitive matters in a demanding, fast-paced and fluid environment.
  • Motivated team player with ability to work independently and potential to lead as necessary.
  • Ability to take initiative to anticipate, identify and analyze issues, generate potential solutions and make decisions independently.
  • Exceptional interpersonal, analytical, written and oral communication skills - must be able to resolve complex issues in a practical manner on a compressed timeline and to communicate complex concepts in an understandable way.
  • Excellent written and verbal communication skills – presents ideas in a clear, concise and constructive manner.

For New York, NY Only the salary range for this position is USD**$190,000.00** - USD**$235,000.00** . Additionally, employees are eligible for an annual discretionary bonus, and benefits including healthcare, leave benefits, and retirement benefits. Black Rock operates a pay-for-performance compensation philosophy and your total compensation may vary based on role, location, and firm, department and individual performance.
