Overall Purpose:
This is a rare opportunity for an exceptional Mergers and Acquisitions lawyer to serve as a principal legal advisor on strategic transactions, including mergers, acquisitions, divestitures, joint ventures, minority investments, and other partnership arrangements. This position oversees the legal aspects of the full transaction lifecycle—from initial structuring and term sheet negotiations through diligence, definitive documentation, regulatory approvals, closing, and post-close integration. You will collaborate closely with corporate development, finance, tax, regulatory, antitrust, HR, and operations teams, as well as external counsel and counterparties, to ensure transactions align with the company’s strategic and financial objectives.
Key Responsibilities:

Advise executive leadership and business teams on all legal matters pertaining to corporate transactions, including public and private M&A, strategic investments, joint ventures, and divestitures in support of growth and portfolio optimization.

Draft, review, and negotiate term sheets, confidentiality agreements, letters of intent, stock and asset purchase agreements, merger agreements, joint venture agreements, and ancillary documents.

Lead and coordinate legal due diligence across disciplines, identifying material risks and proposing practical mitigation strategies related to contracts, regulatory matters, intellectual property, employment, benefits, litigation, cybersecurity, and data privacy.

Manage regulatory strategy and approvals for transactions, including antitrust review (HSR/DOJ/FTC) and, as applicable, telecommunications and spectrum-related approvals (e.g., FCC and state PUCs), and other clearances for cross-border matters.

Partner with finance and treasury on transaction economics, financing arrangements, and closing mechanics; coordinate with tax on structuring to optimize value and manage risk.

Direct outside counsel and collaborate with internal legal stakeholders (corporate, securities, compliance, regulatory, and litigation) to efficiently drive deal execution and resolve issues.

Develop and implement M&A playbooks, templates, and best practices to promote consistent risk management, governance, and integration outcomes across the company.

Monitor developments in M&A, antitrust, securities disclosure related to transactions, and telecommunications regulation, proactively advising stakeholders on impacts to deal strategy and execution.
Qualifications:

Juris Doctor (JD) from an accredited law school; active and in good standing with a state bar.

6+ years of experience in mergers and acquisitions with a strong record of negotiating and closing complex transactions; large law firm and/or in-house corporate development experience preferred.

Extensive experience drafting and negotiating definitive agreements and managing end-to-end deal processes, including diligence, regulatory approvals, and integration planning; telecom, technology, or infrastructure sector experience is a plus.

Demonstrated knowledge of antitrust/competition and HSR processes; familiarity with FCC and other telecom regulatory approvals relevant to transactions is strongly preferred.

Excellent leadership, negotiation, communication, and problem-solving skills, with the ability to manage multiple high-value projects and deadlines in a fast-paced, dynamic environment.
