About The Position

The Corporate Counsel (Commercial Transactions) position will draft and negotiate a broad spectrum of agreements, ranging from straightforward to highly complex, and covering procurement of equipment, supplies, and services, construction of new infrastructure, and ongoing operation of Ameren's utility infrastructure. The position will also collaborate with Ameren's business teams to proactively address and resolve challenges encountered throughout the contract lifecycle.

Key responsibilities include:

  • Draft, review, and negotiate a variety of commercial contracts, including, but not limited to, equipment supply agreements, EPC agreements, engineering and professional services agreements, interconnection agreements, consulting agreements, assignment agreements, and confidentiality agreements for Ameren Missouri, Ameren Transmission, and Ameren Illinois.
  • Analyze and provide comments on financing documents including estoppel certificates, letters of credit, and parent guaranties to ensure Ameren's interests are protected.
  • Lead contract negotiations on behalf of Ameren, clearly communicate key risks to Ameren stakeholders, solicit stakeholder feedback, and obtain mutually acceptable terms.
  • Effectively manage client expectations regarding deliverables, demonstrate responsiveness and adaptability to meet project deadlines and evolving priorities.
  • Where use of outside counsel is authorized, direct their work to ensure alignment with Ameren's risk tolerance, facilitate effective communication with internal stakeholders, and oversee legal budgets and cost allocation.
  • Develop, update, and maintain standard contract templates designed to minimize risk exposure while remaining practical for counterparties.
  • Strategize with Ameren stakeholders to address and resolve post-execution contract issues, including project cost and schedule challenges, and represent Ameren in resolving pre-litigation disputes with suppliers and service providers.
  • Work closely with Ameren's regulatory attorneys and explain contract terms to support Ameren's applications to state and federal regulatory agencies.

Qualifications

  • Juris Doctorate Degree (J.D.) from an accredited law school required,
  • Licensed, eligible to practice or able to seek admission in Missouri required.
  • At least five years of experience in a law firm, corporate legal department or similar environment, with strong preference for contract drafting experience.
  • Preferred: proficiency with EPC agreements, construction agreements, mechanic's lien waivers, and industrial equipment supply agreements.

In addition to the above qualifications, the successful candidate will demonstrate:

  • Advanced proficiency with Microsoft Office tools (Word, Power Point, Excel), and Adobe PDF.
  • Experience utilizing Microsoft Co-Pilot and AI tools for enhanced productivity.
  • A willingness to work extended hours if needed to meet critical deadlines and ensure timely completion of key deliverables.
  • Proven flexibility, versatility, and a collaborative approach to changing assignments and organizational priorities.
  • Exceptional interpersonal and communication skills, meticulous attention to detail and high standards for quality work product.
  • Ability to communicate complex contractual concepts to Ameren stakeholders concisely and comprehensively.
  • Demonstrated independence, creative problem-solving, and adaptability in a fast-paced environment with shifting priorities.

Additional Information

The Corporate Counsel position will follow a hybrid work model, requiring in-office presence at least three days per week at Ameren's headquarters located in St. Louis, Missouri.

Ameren’s selection process includes multiple rounds of interviews and may incorporate an assessment. Qualified candidates will receive detailed information about the recruitment steps and expectations.

Compensation Range:

$134,700.00 - $208,800.00

At Ameren, base salary is one component of a competitive compensation package for employees. Our pay ranges are broad to allow for movement within our organization and to accommodate different skill sets and levels of expertise. We take into consideration a variety of factors including, but not limited to, skills, abilities, experience, education, credentials, and internal equity when determining the base salary offered. Roles are eligible for additional rewards including annual incentive payments based on individual and company performance.
